100% legal Clone of LeasedAdSpace Dot com (a site my company owns)

My company owns the domain LeasedAdSpace Dot com and we need the site re-programmed as one of the former owners has left us waiting for over 1 1/2 years to get the site and database transferred. The site is currently coded in Java using PostgreSQL and is installed on an Amazon server that will be taken down in 10 days That partner has finally sent us the database (almost 6 GB PostgreSQL .sql file) and the site files (900 MB), but will not transfer the site for us nor help us to get the Java site running, so we are left with the only choice left to create a PHP / MySQL clon-e (we can code in PHP / MySQL ourselves, but don't have the time to do all ourselves). For that reason, we like the site newly programmed in PHP / MySQL for that complete site that we can then run on a dedicated server of ours (WHM / cPanel) instead of on Amazon. All files of the original site will be provided in a .zip file (images, CSS, Javascript, HTML) and can be used in the new version. A PHP membership script based on BFM (Butterfly Marketing) will be pre-installed by us and you will receive FTP access to it to replace the design as it is now at LeasedAdSpace Dot com. Your job is to port the public web pages and well as the members area over, we will handle the admin area ourselves.
